Agreement to Terms

By downloading, installing, or using Numerate ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, please don't use the App.

License to Use

Grant of License

We grant you a personal, non-transferable, non-exclusive license to use Numerate on iOS devices that you own or control, subject to these Terms and the Apple App Store Terms of Service.

License Restrictions

You may not:

• Modify, reverse engineer, decompile, or disassemble the App
• Remove any copyright or proprietary notices from the App
• Use the App for any illegal purpose
• Attempt to gain unauthorized access to any part of the App or its systems
• Rent, lease, lend, sell, or redistribute the App
• Use the App in ways that violate any applicable laws or regulations

Acceptable Use

Personal Use

Numerate is intended for personal data tracking. You may use it to track fitness, finances, habits, collections, or any other personal metrics.

Prohibited Uses

You may not use Numerate to:

• Track or store illegal activities
• Violate any person's privacy or rights
• Store malicious content or code
• Harass, abuse, or harm others

Your Data and Content

Ownership

You own all data you input into Numerate. We claim no ownership rights to your tracking data, and we don't access, view, or use it in any way.

Responsibility

You are solely responsible for:

• The accuracy of data you enter
• Backing up your data (via iPhone backups)
• Any decisions you make based on your tracked data
• Ensuring your data doesn't violate any laws or third-party rights

Export and Import

You can export and import your data in JSON format. Exported data is saved locally and is your responsibility.

Data Loss

While we strive for reliability, we cannot guarantee against data loss. You should regularly back up your iPhone (which includes Numerate data) through iCloud or computer backups. We are not liable for any data loss, however caused.

Pricing

Numerate is currently free. If we introduce paid features in the future, pricing and payment terms will be added to these Terms and communicated in the App.

App Updates and Changes

Updates

We may release updates to Numerate that add features, fix bugs, or make improvements. Updates may be required for continued use. Some updates may change or remove features.

No Guarantee of Features

Features listed on our roadmap or mentioned in documentation may change or be canceled. We strive to deliver planned features but make no guarantees about future functionality.

Disclaimer of Warranties

Numerate is provided "as is" and "as available" without warranties of any kind.

We make no warranties that:

• The App will be error-free or uninterrupted
• Defects will be corrected
• The App is free of viruses or harmful components
• Results from using the App will be accurate or reliable

Not Medical or Financial Advice

Numerate is a tracking tool, not a source of professional advice. It does not provide:

• Medical advice (consult healthcare providers for health decisions)
• Financial advice (consult financial advisors for money decisions)
• Legal advice
• Any professional consultation

Do not rely solely on Numerate for important life decisions. Always consult qualified professionals.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruption or data loss
• Damages resulting from your use or inability to use the App

Maximum liability: If we are found liable, our total liability will not exceed the amount you paid for the App in the past 12 months (or $50 if you used only free features).

Indemnification

You agree to indemnify and hold harmless Numerate and its developers from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content stored in the App

Privacy

Your privacy is important to us. Our Privacy Policy explains how we handle data (spoiler: we don't collect it). The Privacy Policy is incorporated into these Terms by reference.

Third-Party Services

Apple Services

Numerate integrates with the following Apple services:

• App Store (for distribution)
• Siri (voice commands for logging data)
• Shortcuts (automation actions)
• WidgetKit (home screen and Lock Screen widgets)

Apple's terms and policies apply to these services. We are not responsible for Apple's actions or failures.

Termination

By You

You may stop using Numerate at any time by deleting the App from your device.

By Us

We may terminate or suspend your access to the App if you:

• Violate these Terms
• Use the App for illegal purposes
• Attempt to harm the App or its users

Because Numerate operates locally on your device, "termination" means we may revoke your license and request you delete the App. We cannot remotely disable the App since we have no backend connection.

Changes to Terms

We may update these Terms from time to time. When we do:

• We'll update the "Last Updated" date at the top
• Significant changes will be announced in the App
• Continued use after changes means you accept the new Terms

We recommend reviewing these Terms periodically.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to be enforceable while preserving intent.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Numerate regarding use of the App, superseding any prior agreements.
